Terms of Use - Heritage Density Exchange Program Database

1. The information delivered on this web page (“Heritage Density Information”) is provided as a public service by the City of Vancouver on the following terms.

2. In return for the City of Vancouver (the “City”) granting access to Heritage Density Information, the person (the "User") accessing Heritage Density Information agrees to and accepts these Terms of Use.

3. Heritage Density Information is supplied on an “as is, where is” basis. The City assumes no obligation or liability for the use of Heritage Density Information by any person and makes no representations or promises regarding the completeness or accuracy of Heritage Density Information or its fitness for a particular purpose. Heritage Density Information represents secondary or replicated information transferred from legal agreements, by-laws, and internal City records and may contain typographical or other transfer/replication errors. Heritage Density Information does not necessarily include the ongoing updates, corrections, and changes to the legal agreements, by-laws, and other source information maintained by the City for the City’s internal purposes.

4. The User now accepts all risks of use of the Heritage Density Information whether or not such risks have been described above. The User is cautioned to mitigate or avoid the risks of use of the Heritage Density Information by consulting all relevant legal documents (eg. Heritage Revitalization Agreements, By-laws, Vancouver Charter) and legal counsel in lieu of relying on the Heritage Density Information.

5. The User will use Heritage Density Information only for the User's own internal business and personal purposes and may not

(a) re-sell, sub-licence, or operate a service bureau using Heritage Density Information, or

(b) otherwise reproduce, publish or disseminate Heritage Density Information for commercial purposes,

without the prior written consent of the City.

6. All right, title and interest (including all copyright, patent, and other intellectual property rights) in Heritage Density Information remain vested in the City at all times. The City's original copyright and other proprietary notices included with Heritage Density Information must remain intact at all times.

7. The User now indemnifies the City and its officials, employees and agents from and against all losses, claims, demands, actions, payments, expenses, costs, suits, and damages (including any damages that are direct, indirect, incidental, special or consequential), whether or not caused by the negligence of the City, or its officials, employees or agents, which are incurred by the City and would not or could not have been incurred but for the User’s use of Heritage Density Information or the User’s breach of these Terms of Use.

8. When the User has completed use of the Heritage Density Information for the permitted purpose for which it was acquired, the User will erase the Heritage Density Information data from the User’s computer system or such other storage device where such data may reside.

9. Failure of the User to comply with these Terms of Use will result in the automatic termination of the User's rights to access Heritage Density Information.

10. These Terms of Use are governed by the laws of British Columbia, Canada. The User now irrevocably agrees that any and all matters arising from these Terms of Use will be exclusively governed by the courts of British Columbia. If any part of these Terms of Use is found to be unenforceable, then that part will be severed so that the remainder of these Terms of Use can continue to be enforceable.
